Terms of Service

These Terms of Service (“Terms”) are between you and Foundry AI LLC (“OnItChef,” “we,” “us,” or “our”). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.
1. Acceptance of Terms
Use of the Services constitutes acceptance of these Terms. If you access the Services on behalf of an organization, you represent that you are authorized to bind that organization to these Terms. We may update these Terms as described in Section 14, and continued use after changes become effective constitutes acceptance.
2. Eligibility
You must be at least 18 years old to use the Services. By using the Services, you represent that you meet this requirement.
3. Description of Services
The Services provide informational content, recommendations, and tools related to food, groceries, and meal planning, including integrations with third-party platforms.
4. Health & Nutrition Disclaimer
The Services do not provide medical advice. All content, recommendations, and information provided through the Services are for informational and educational purposes only and are not intended as medical, nutritional, or dietary advice. We are not healthcare providers. We do not diagnose, treat, or prevent any disease. Individual dietary needs vary significantly. You should always seek the advice of a qualified healthcare professional before making dietary or health decisions. You use the Services at your own risk.
5. No Warranties
The Services are provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim all warranties, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, noninfringement, accuracy, and availability.
6. Third-Party Services
The Services may link to or integrate with third-party platforms (such as grocery ordering services). We do not control and are not responsible for third-party content, pricing, availability, substitutions, fulfillment, delivery, or payment processing. Your interactions with third parties are governed by their own terms and policies, and you are solely responsible for those interactions.
7. User Accounts
You are responsible for maintaining the confidentiality of your account and all activity under your account. We reserve the right to suspend or terminate accounts that violate these Terms.
8. Prohibited Uses
You agree not to use the Services for unlawful purposes, attempt to reverse engineer or misuse the platform, or interfere with system security or availability.
9. Intellectual Property
All content and software associated with the Services are owned by OnItChef or its licensors and are protected by intellectual property laws.
10. Limitation of Liability
To the maximum extent permitted by law, OnItChef shall not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages; loss of data, profits, goodwill, or business; or decisions made based on content or recommendations, even if advised of the possibility of such damages. Our total liability for any claim arising out of or relating to the Services will not exceed $100 in the aggregate.
11. Indemnification
You agree to indemnify, defend, and hold harmless OnItChef and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from your use of the Services or violation of these Terms.
12. Termination
We may suspend or terminate access to the Services at any time, with or without notice. Upon termination, your right to use the Services ends, but Sections 4–16 will survive to the extent applicable.
13. Governing Law
These Terms are governed by the laws of the State of North Carolina, without regard to conflict of law principles. You consent to exclusive jurisdiction and venue in the state and federal courts located in North Carolina.
14. Changes to Terms
We may update these Terms at any time. If changes are material, we will take steps to notify you as required by law. Continued use of the Services after changes become effective constitutes acceptance.
16. Miscellaneous
If any provision of these Terms is found unenforceable, the remainder will stay in effect. Failure to enforce a provision is not a waiver. You may not assign or transfer these Terms without our prior written consent; we may assign these Terms in connection with a merger, acquisition, or sale of assets.
